All original content, including but not limited to designs, graphics, logos, illustrations, photographs, videos, text, and any underlying source code or preparatory materials (collectively referred to as the "Work"), created by Nyamz Graphics (referred to as "we," "us," or "our") is exclusively owned by Nyamz Graphics and protected by copyright laws, intellectual property rights, and other applicable national and international legislation. This ownership extends to the selection, arrangement, and overall aesthetic of the Work.
Upon receipt of full and timely payment for the agreed-upon services, Nyamz Graphics grants the client (referred to as "you" or "your") a non-exclusive, non-transferable, limited license to use the final deliverables solely for the specific purposes explicitly outlined in the project agreement or proposal. This license is granted for the territory and duration specified in the agreement. Unless explicitly stated otherwise in writing, this license does not grant you the right to:
Any usage of the Work beyond the scope of the granted license will be considered a breach of these terms and may be subject to legal action.
Notwithstanding the license granted to the client, Nyamz Graphics retains the perpetual, irrevocable right to showcase completed Work, including final deliverables and process materials, in its portfolio, website, social media channels, marketing materials, and for promotional purposes, unless explicitly agreed upon in a separate written agreement signed by both parties. This includes the right to use the client's name and logo in connection with the showcased Work, unless otherwise specified.
Unauthorized reproduction, distribution, copying, public display, performance, modification, reverse engineering, decompilation, or any other use of the Work that is not expressly permitted by this license or applicable law is strictly prohibited. This includes, but is not limited to, using the Work in a way that infringes upon the intellectual property rights of Nyamz Graphics or any third party.
Unless explicitly stated otherwise in the project agreement, Nyamz Graphics retains all intellectual property rights in and to any preliminary concepts, drafts, mockups, and unused designs created during the project. The client's payment covers the licensing of the final, approved deliverables only.
The client agrees to indemnify and hold harmless Nyamz Graphics, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with the client's unauthorized or improper use of the Work or any breach of these terms.
These terms shall be governed by and construed in accordance with the laws of Zimbabwe. Any dispute arising out of or relating to these terms or the services provided by Nyamz Graphics shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.

These terms, together with the project agreement or proposal, constitute the entire agreement between Nyamz Graphics and the client concerning the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
Nyamz Graphics reserves the right to modify these terms at any time without prior notice. The latest version of these terms will be posted on our website. Continued use of our services after any such changes constitutes your acceptance of the revised terms.
By engaging the services of Nyamz Graphics, you (the client) agree to be bound by the following terms and conditions:
A non-refundable deposit, the amount of which will be specified in the project agreement or proposal, is required before any project work commences. The remaining balance is due in full upon completion of the project and prior to the release of the final deliverables, unless otherwise agreed upon in writing.
Estimated turnaround times for project completion will be provided based on the project's complexity and the client's timely provision of necessary information and feedback. Please note that these are estimates and actual completion times may vary. Nyamz Graphics will make reasonable efforts to adhere to the agreed-upon timelines but is not liable for delays outside of its direct control.
The scope of revisions included in the project fee will be as specified in your chosen package or the project agreement. Requests for revisions beyond this scope may be subject to additional charges, which will be communicated to and agreed upon with the client in advance.
Refunds will only be considered if no significant design or development work has commenced on the project. All refund requests will be reviewed on a case-by-case basis and are subject to the sole discretion of Nyamz Graphics. Once substantial work has been undertaken, or if the final deliverables have been approved, refunds will generally not be granted.
Nyamz Graphics shall not be held liable for any delays in project completion that are directly or indirectly caused by third-party services (including but not limited to hosting providers, printers, or software platforms) or due to the client's failure to provide necessary materials, feedback, or approvals within the agreed-upon deadlines.
The client is responsible for providing clear and comprehensive project briefs, timely feedback, and all necessary content and materials required for the project. Delays caused by the client's failure to fulfill these responsibilities may result in adjustments to the project timeline and potentially additional charges.
Upon completion of design stages or the final deliverables, the client will be provided with an opportunity to review and approve the work. The client's approval, whether written or implied (e.g., through continued use), signifies acceptance of the deliverables. Once approved, any further modifications may be subject to additional fees.
All official project communication should be conducted via the agreed-upon channels (e.g., email). Nyamz Graphics will endeavor to respond to client inquiries in a timely manner during regular business hours.
Any confidential information shared by the client with Nyamz Graphics will be treated with the utmost confidentiality and will only be used for the purpose of fulfilling the project requirements. Similarly, any proprietary information belonging to Nyamz Graphics will be treated with respect by the client.
Either party reserves the right to terminate the project agreement with written notice if the other party breaches these terms and fails to remedy the breach within a reasonable timeframe. In the event of termination by the client after work has commenced, the client will be responsible for payment for all work completed up to the point of termination.
These Terms & Conditions shall be governed by and construed in accordance with the laws of Zimbabwe.
